These Terms of Service (“Terms”) govern your use of the Webpax website and, where applicable, the services provided by Webpax (“Webpax,” “we,” “us,” or “our”). By accessing our website or engaging Webpax for services, you agree to these Terms.

1. Our services

Webpax provides digital services that may include:

  • Branding

  • Website design and development

  • Website redesign

  • Website maintenance and updates

  • Search engine optimization (SEO)

  • AI search optimization (GEO)

  • Local search optimization

  • Analytics and reporting

  • Digital strategy

  • Digital content and copywriting

  • User experience (UX) recommendations

  • Other digital services agreed upon with a client

The specific services, deliverables, timeline, and fees for a client project will be outlined in a separate proposal, statement of work, agreement, or other written communication.

2. Client responsibilities

To provide our services effectively, clients may need to provide information, content, images, branding materials, account access, approvals, and other materials. You agree to provide information and approvals reasonably necessary for us to complete the agreed-upon work.

You are responsible for ensuring that materials you provide us are accurate and that you have the necessary rights and permissions to use them. Delays in providing required materials or approvals may affect project timelines.

3. Fees and payment

Fees and payment schedules will be communicated before work begins.

Unless otherwise agreed in writing:

  • Invoices are due according to the payment terms stated on the invoice or proposal.

  • Work may be paused if invoices become past due.

  • Additional work outside the agreed scope may result in additional charges.

  • Third-party costs are the responsibility of the client unless otherwise agreed (I.E., website hosting, domains, software subscriptions, plugins, fonts, stock photography, advertising, or other services)

4. Project scope and changes

Webpax will perform the services described in the agreed project scope. Requests that fall outside the original scope may require additional fees and a revised timeline.

We will communicate material changes to scope, cost, or timeline before proceeding whenever applicable.

5. Website and SEO results

Webpax will use reasonable professional efforts to provide high-quality digital services.

However, we cannot guarantee specific outcomes from SEO, AI search optimization, advertising, analytics, or website services. Search engine rankings, AI-generated results, website traffic, conversions, and other digital performance metrics are influenced by factors outside our control.

We do not guarantee:

  • A specific search ranking

  • A specific amount of website traffic

  • Inclusion in AI-generated search results

  • A specific number of leads or customers

  • A specific increase in revenue

  • Any particular business result

6. Intellectual property

Unless otherwise agreed in writing, clients retain ownership of original materials they provide to Webpax. Upon full payment, the client will generally receive ownership of the final custom work created specifically for the client as described in the applicable agreement.

Webpax may retain ownership of pre-existing materials, tools, processes, templates, frameworks, code libraries, know-how, and other materials that were not created exclusively for the client.

Third-party materials remain subject to their respective licenses and terms.

7. Client content

You are responsible for the content, claims, images, trademarks, logos, and other materials you provide to Webpax.

You represent that you have the necessary rights and permissions to use those materials. You agree not to provide materials that infringe another person's intellectual property, privacy, or other legal rights.

8. Portfolio and marketing

Unless otherwise agreed in writing, Webpax may identify a completed client project and display screenshots or links to the work in its portfolio, website, social media, or other promotional materials.

If you do not want your project used for promotional purposes, a request must be submitted in writing.

9. Third-party services

Webpax may recommend or use third-party platforms and services as part of a project. These may include website hosting providers, domain registrars, analytics platforms, content management systems, payment processors, AI tools, plugins, advertising platforms, and other services.

Third-party services are governed by their own terms and policies. Webpax is not responsible for changes, outages, pricing, policies, or performance of third-party services.

10. Website availability

We make reasonable efforts to keep the Webpax website available and functioning properly. However, we do not guarantee that the website will always be available, uninterrupted, or error-free.

11. Limitation of liability

To the fullest extent permitted by applicable law, Webpax will not be responsible for indirect, incidental, special, consequential, or punitive damages arising from your use of our website or services.

Our total liability relating to a specific project or service will not exceed the amount you paid to Webpax for that service during the applicable period, except where such limitation is prohibited by law.

12. Termination

Either party may terminate an ongoing service arrangement according to the terms of the applicable agreement.

Webpax may suspend or terminate services if a client fails to make required payments, materially breaches these Terms, or engages in unlawful or abusive conduct. Amounts owed for services performed before termination remain due.

13. Governing law

These Terms will be governed by the laws of the State of Maryland, without regard to conflict-of-law principles, unless a separate written agreement states otherwise.

14. Changes to these terms

We may update these Terms from time to time. When we make changes, we will update the “Last Updated” date at the bottom of this page.

Your continued use of the website after changes are posted constitutes acceptance of the updated Terms to the extent permitted by law.
